Proposal Description
In terms of Section 102 of the Mineral and Petroleum Resources Development Act, 28 of 2002 ("MPRDA"), the applicant, Madini Mining Proprietary Limited ("Madini") seeks approval for the extension of the Madini Mining Proprietary Limited ("Madini") mining right bearing DMRE reference number MP 30/5/1/1/2/10118 MR and MPT number 06/2021 and consisting of a Portion of portion 2, Portion of portion 8, and Portion 9 of the farm Kleinwater 301 JS, and Portion 11(RE), and Portion 39 and Portion 40 of the farm Doornrug 302 JS, and the Remaining extent of the farm Rondebult 303 JS, Magisterial District of Witbank ("Madini Mining Right") by adding the abandoned portion (a portion of portion 2, portion of portion 8, of the farm Kleinwater 301 JS and a portion of the remaining extent of the farm Coronation 280 JS) of the Kromdraai converted Mining Right - mining right bearing DMRE reference number MP 30/5/1/2/2/306 MR and MPT number 71/2012 ("TOPL Mining Right"),
measuring 12 858.5798 hectares in extent, and which portion of the immovable property is situated in the
Middelburg Magisterial district of Mpumalanga Province ("Kleinwater Section").
Madini operates the Madini Mining Right in the Province of Mpumalanga, in respect of coal. The
Madini/Kleinwater Mining Right is located adjacent to the Kromdraai Mining Area (provided as part of Appendix
B: Locality Map, and defined as)
Thungela Operations Proprietary Limited (“TOPL”) owns and operates the Kromdraai Operation and is the
sole and exclusive holder of the TOPL Mining Right, which was originally granted during 2008 in respect of coal
converted in terms of item 7 of Schedule II to the MPRDA in respect of coal on various portions of various farms,
including certain portions of the farm Kleinwater 301 JS and certain portions of the farm Coronation 280 JS
situated in the magisterial district of Middelburg, which mining right was registered at the MPTRO on 6 June
2012 under MPT No. 71/2012. ("Kromdraai Mining Area").
TOPL and Madini concluded a Sale of Assets Agreement (“Agreement”) in November 2023, in terms of which
inter alia, TOPL agreed to sell and Madini agreed to purchase the Sale Assets (defined in the Agreement and
which included the Kleinwater Section) for the Purchase Price.
Madini thus makes this application to amend the Madini Mining Right by including the Kleinwater Section (a
portion of portion 2, portion of portion 8 of the farm Kleinwater 301 JS and a portion of the remaining extent of
the farm Coronation 280 JS) from the Kromdraai converted Mining Right.
A simultaneous application has been lodged by TOPL under Section 102 of the MPRDA to exclude the
Kleinwater Section in the TOPL Mining Right.
